Please read these Terms carefully before using Provlyn. By creating an account or using our services, you agree to be bound by these Terms.

1. About Provlyn

Provlyn is a software-as-a-service (SaaS) platform that provides blockchain-anchored timestamping, intellectual property vaults, and digital certificates. Provlyn is operated by Provlyn Ltd ("we", "us", "our"), a company registered in England and Wales under company number 17185877 with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

Our services allow users to create cryptographic evidence of the existence and integrity of digital files at a specific point in time. This is achieved by generating a cryptographic hash of your file and anchoring it to the Bitcoin blockchain and RFC 3161 trusted timestamping authorities. A timestamp evidences that a file existed in a particular form at a given moment; it does not by itself establish legal ownership or authorship, which depend on applicable law and the assessment of the relevant courts.

Provlyn does not inspect the contents of your files or use them for any purpose other than delivering the features you choose. For proof of existence, only a cryptographic fingerprint (hash) of your file is processed and recorded. Depending on the deposit option you choose, your file is either never uploaded to Provlyn at all, or is stored so that you can retrieve it and use the sharing features described in section 2. Where you enable watermarking or view-only sharing, your file is processed on our servers to embed a watermark or to render page images for viewing; this processing is automated, is carried out only to deliver the option you selected, and does not involve any human review of your file's contents.

2. Vault Access — Subscription Terms

Provlyn subscriptions grant you paid access to vault storage and timestamping services for the duration of your active subscription. Provlyn does not sell vault storage — it provides access to it on a subscription basis.

Your vault and its contents remain accessible while your subscription is active and payments are up to date. If your subscription lapses or is cancelled, access to your vault is suspended and it enters a retention window — 14 days for monthly plans, 30 days for annual plans — during which your files are preserved and can be recovered by resubscribing to the same plan. After the retention window ends, your stored files are automatically and permanently deleted. Your cryptographic hashes and certificates are retained so that proofs you have already created remain verifiable. If a free trial ends without a subscription, your stored files are automatically deleted 48 hours after the trial expires; you can subscribe afterwards, but you will start with a new, empty vault.

When you deposit a file you choose one of two options. With Protect & save, your file is uploaded and stored by Provlyn in encrypted form so that you can retrieve it later; the storage and retention terms in this section apply to it. With Protect only, your file is never uploaded to Provlyn: only its cryptographic hash and the resulting proof are recorded, and Provlyn holds no copy of the file. With Protect only it is your responsibility to keep the exact, unaltered file, because verification requires the identical file that produced the hash; if you lose or modify it, the proof cannot be matched to it and Provlyn cannot recover the file for you.

Blockchain timestamp records and certificates created during your subscription period are permanently anchored to the Bitcoin blockchain and cannot be deleted — this is a fundamental property of blockchain technology. These records will remain verifiable on the blockchain indefinitely, regardless of your subscription status.

Provlyn may in future offer a permanent ownership tier allowing users to convert active vaults to permanent ownership. Details will be published when available.

2a. Sharing and Watermarking

When you share a vault, you make selected files available to recipients you invite. When you choose to watermark a file you share — and always when you share it as view-only — Provlyn embeds into each recipient's copy a repeating, visible mark showing that recipient's email address and the date and time of access. This is a leak-deterrent measure, so that a shared file can be traced to the specific recipient it was released to.

You control this. You choose whether to share a vault, who to invite, and whether to apply watermarking when you share; watermarking is optional for downloadable shares and is always applied to view-only shares. By sharing with watermarking applied, you instruct Provlyn to process each recipient's email address and access time for the sole purpose of producing these marks. Provlyn applies the watermark automatically, on your instruction, and uses the recipient's email address for no other purpose.

Because the mark is embedded in the file itself, the recipient's email address will be visible to anyone who views that copy of the file, and will remain in the file if it is saved, copied, or forwarded. You should take this into account when deciding what to share, with whom, and whether to apply watermarking.

You are responsible for ensuring that you are entitled to provide each recipient's email address and to have it embedded in shared files in this way, and for giving recipients any notice required for this use of their personal data to be fair and lawful. You warrant that you have the necessary rights and a lawful basis to do so. Where data protection law applies, you act as the controller for the recipient personal data you choose to process through this feature, and Provlyn acts as your processor, applying watermarks only as described above and in accordance with our Privacy Policy and any applicable data processing terms.

You agree to indemnify Provlyn against any claim, loss, or liability arising from your use of watermarked sharing, including any claim by a recipient or other third party relating to the processing of a recipient's email address through this feature, except to the extent it arises from Provlyn's own breach of these Terms or applicable law.

3. Subscription Plans and Billing

Provlyn offers multiple subscription tiers as described on our pricing page. Prices are shown in the currency and on the billing cycle indicated at checkout.

Standard plans are billed in advance for the full subscription term when you subscribe. Music plans include a 7-day free trial: you provide payment details at sign-up but are not charged until the trial ends, and you may cancel free of charge at any time during those 7 days. The VC Data Vault is a one-time purchase, not a subscription.

Subscriptions renew automatically at the end of each billing term using your payment method on file, unless you cancel before the renewal date. You can cancel at any time from your account settings. Cancelling stops the next renewal; your access continues until the end of the term you have already paid for. The amount paid for the current term is not refunded on cancellation (see our Refund Policy below).

Payments are processed by Paddle, our third-party payment processor and Merchant of Record, which handles tax compliance across all jurisdictions. By purchasing you also agree to Paddle's terms of service.

3a. Plan Limits, Overages and Add-ons

Each plan includes set allowances — the number of vaults you can create, the number of deposits you can make each month, your file storage, and your monthly allowance of qualified eIDAS stamps (covered in section 6a). These allowances are shown on our pricing and add-ons pages and may change from time to time. Reaching a limit only restricts new actions: it never alters, removes, or affects any file, hash, certificate, or blockchain anchor you have already created.

Deposits — standard plans. On standard plans (Starter, Creator, Founder, and Scale) your monthly deposit allowance is a fixed cap. Once you reach it, you cannot make further deposits until your allowance resets at the start of the next calendar month, or until you upgrade to a plan with a higher allowance. Standard plans do not offer paid deposit overage.

Deposits — music plans. On music plans (Music Pro and Music Studio) you can continue to deposit beyond your monthly allowance. A flat monthly overage charge then applies for the usage band you fall into, as set out on the add-ons page. At each renewal your band is recalculated based on the previous month's usage; if you have dropped back within your allowance, the overage is removed from the start of your next period.

Storage. Each paid plan includes a storage allowance. To store files beyond that allowance you must purchase a storage add-on; until you do, you will not be able to upload files that would take you over your current storage limit. A storage add-on is charged at the annual rate for the band your total storage falls into, applied pro rata for the remaining portion of your current billing period, and is then included in your subsequent annual renewals. You pay only for the single band you fall into; bands do not stack. At each renewal your band is recalculated based on your current usage, and if your storage has dropped back within your plan allowance the add-on is removed from the start of your next period. Total storage above 50 GB is by separate arrangement (Provlyn Bespoke).

Vaults. Each plan allows a set number of vaults (unlimited on Scale). You cannot create more vaults than your plan allows; to create more, upgrade to a plan with a higher vault limit.

Qualified eIDAS stamps. The allowances, packages, and roll-over rules for qualified eIDAS stamps are set out in section 6a. If you have no qualified stamps remaining, you cannot apply a qualified eIDAS timestamp to a new deposit, but the free anchoring — SHA-256 hashing, an RFC 3161 timestamp, and a Bitcoin blockchain anchor — still applies to every deposit.

Add-ons (extra storage, music deposit overage, and qualified-stamp packages) are billed through Paddle alongside your subscription. Charges added during a billing term are prorated for the remainder of your current period as described above, and recurring add-ons renew with your subscription. We may enforce these limits automatically, including by preventing actions that would exceed them, and we may suspend or restrict accounts that attempt to circumvent them, as set out in section 4.

4. Acceptable Use

You agree to use Provlyn only for lawful purposes. You must not use our services to:

  • Upload files that contain illegal content, including but not limited to content that infringes third-party intellectual property rights
  • Attempt to claim ownership of intellectual property that does not belong to you
  • Reverse engineer, decompile, or tamper with our platform or its security measures
  • Use automated tools to access the platform in a way that places unreasonable load on our infrastructure
  • Share account credentials with third parties not authorised under your plan
  • Use the platform for any fraudulent or deceptive purpose

We reserve the right to suspend or terminate accounts that violate these terms without notice or refund.

5. Intellectual Property

You retain full ownership of all files and intellectual property you upload to Provlyn. By using our service, you grant Provlyn a limited, non-exclusive licence to process your files only as needed to deliver the features you use — including generating cryptographic hashes and certificates, storing your files where you choose to save them, and, where you enable them, applying watermarks and rendering view-only page images for recipients you share with.

Provlyn does not claim any ownership over your content. We do not use your files for any purpose other than delivering the features you choose — timestamping, storage, and, where you enable them, watermarking and view-only sharing. Watermarking and view-only sharing involve automated server-side processing of your file to embed a watermark or render page images; we do not otherwise review the contents of your files.

The Provlyn platform, including its software, design, branding, and documentation, is the intellectual property of Provlyn Ltd and is protected by applicable copyright and trademark law.

6. Blockchain Records and Certificates

Blockchain timestamps created through Provlyn are permanent and immutable. Once a cryptographic hash is anchored to the Bitcoin blockchain, it cannot be altered or deleted — this is a fundamental and intentional property of the technology.

Provlyn certificates and timestamps are provided as evidence tools. While blockchain timestamps are increasingly recognised by courts worldwide, Provlyn makes no guarantee that any specific certificate will be accepted as legal evidence in any specific jurisdiction or proceeding. You should seek independent legal advice regarding the use of blockchain evidence in any legal matter.

6a. eIDAS Qualified Timestamping

In addition to the free anchoring applied to every deposit (SHA-256 hashing, an RFC 3161 timestamp, and a Bitcoin blockchain anchor), Provlyn offers optional qualified eIDAS timestamps issued by a Qualified Trust Service Provider on the EU Trusted List. A qualified eIDAS timestamp carries the legal presumption of accuracy of the date and time it indicates, and of the integrity of the data to which they are bound, under Article 41(2) of Regulation (EU) 910/2014 within the European Union.

This presumption applies within EU member states and on similar terms under retained UK law. It does not guarantee that any certificate or timestamp will be accepted as evidence in any particular jurisdiction or proceeding, and it is not a substitute for legal advice. Provlyn makes no representation as to the outcome of any legal matter.

Qualified eIDAS is applied in two ways. First, automatically: a qualified timestamp is applied once per day to a combined hash of each active vault's access log for that day, included in the price of your plan at no additional charge. Second, optionally per deposit, when you choose to apply a qualified stamp to an individual file at the point of deposit.

Per-deposit qualified stamps are drawn from a finite allowance. Subscription plans include a monthly allowance of qualified stamps. This monthly allowance resets to its full amount on the first day of each calendar month, and any unused monthly stamps do not roll over. Standalone packages of qualified stamps may be purchased separately; purchased stamps roll over for twelve months from the date of purchase. Where both are available, the monthly allowance is consumed before purchased stamps.

VC Data Rooms include a fixed allocation of qualified stamps for the lifetime of the room rather than a monthly allowance, and that allocation is not reset on the first of the month. When a room's included allocation is exhausted, further per-deposit stamps are drawn from any standalone packages held by the room's owner. A renewal of a VC Data Room refreshes its included allocation.

Qualified timestamping depends on the availability of the third-party Qualified Trust Service Provider. If a qualified stamp cannot be obtained at the time of a deposit, the deposit still completes with the free anchoring applied, and any reserved qualified stamp is returned to your balance. Provlyn's qualified-timestamping architecture is provider-agnostic and the provider may be changed or supplemented without notice; this does not affect the validity of qualified timestamps already issued.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Provlyn shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to loss of data, loss of revenue, or failure of a certificate to be accepted in legal proceedings.

The service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free from harmful components.

Our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the total amount paid by you to Provlyn in the 12 months preceding the claim.

8. Availability and Service Changes

We aim to provide a reliable service but do not guarantee 100% uptime. Provlyn may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. Where we make material changes that affect your subscription, we will provide at least 30 days' notice by email.

In the event that Provlyn ceases to operate entirely, we will provide users with at least 90 days' notice and the opportunity to export their vault data and certificates.

9. Refund Policy

Standard plans: billed in advance for the full term. We do not offer refunds for the current term once it has been paid. You may cancel at any time to prevent the next renewal; your access continues to the end of the paid term.

Music plans: include a 7-day free trial. You may cancel free of charge during the trial and you will not be charged. After the trial, the plan is billed for the full term and the current term is non-refundable; you may cancel to prevent the next renewal.

VC Data Vault: the one-time payment is non-refundable once the vault has been activated or files have been deposited. If you request a refund within 48 hours of purchase and no files have been deposited, we will issue a refund at our discretion.

Qualified eIDAS stamps: Standalone packages of qualified eIDAS stamps are non-refundable once purchased. The monthly allowance of qualified stamps included with a subscription plan is part of that plan and is not separately refundable; it resets to the plan's full monthly amount on the first day of each calendar month, and any unused monthly stamps do not roll over. Where both are available, your monthly allowance is always consumed before any stamps from a purchased package.

Except as set out above, we do not provide refunds other than where required by applicable law or, in exceptional circumstances, at our sole discretion. To raise a refund query, contact us at info@provlyn.com with your account email and order details.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
